Terms of service
These terms apply to work carried out by AIORCA LTD (registered in Scotland, company number SC884036) unless we have signed something different with you.
WebsitesWebsite builds, hosting and Care are covered by our Website terms (version 1.0) together with your order form. Where anything on this page differs, those take priority. The terms below cover everything else we do, such as automation and AI projects.
Quotes and scope
Every quote lists what is included and, just as importantly, what is not. Work outside that list is quoted separately before it starts — we will not do extra work and surprise you with a bill, and we will not absorb it silently either. If you ask for something mid-project we will tell you at the time whether it is inside scope.
Payment
- Website builds are invoiced on the day the site goes live. There is no deposit. The invoice is due within 7 days.
- The first 12 months of Care are included in a website build. After that, Care renews yearly: we invoice 30 days before the renewal date and it is due on that date. Small changes are included.
- Monthly plans are paid monthly in advance by standing order to our business bank account. We send the details when the plan starts; card payment is available on request. You can cancel at any time and the plan stops at the end of the month you have paid for.
- Other projects are billed as set out in the quote. Unless it says otherwise, invoices are due within 14 days.
- We are not VAT-registered, so no VAT is added.
Timelines
Quoted timelines start from the day we have both the access and the content we need — not from the day you pay. The single most common cause of a late project is waiting on copy and photos, so we will chase you for them, and we would rather record you talking for forty minutes and write it up ourselves than leave a page empty.
What we need from you
For a website, we do not need access to your domain account. We send you, or whoever looks after your domain, the exact settings to point it at your new site. For other work we may ask to be added as a user on the accounts involved: delegated access, not ownership. You keep ownership of everything throughout and can remove our access the day we finish. We will never transfer a domain away from you.
Ownership
Once you have paid in full, the website, content and assets we produced for you are yours. Anything we bring with us — our own components, templates and internal tooling — stays ours, and you get a licence to keep using it as part of your site for as long as you like.
Third-party services
Some deliverables depend on services we do not control, such as hosting, payment processors, email providers and automation platforms. We will tell you which ones a build depends on and roughly what they cost. Their prices and terms are theirs, not ours.
Cancellation
You can stop a project at any point. You pay for the work completed to that date and we hand over what exists. Care can be cancelled at any time and runs to the end of the year you have paid for. When you leave, we give you your site files and help you move them.
Liability
We do everything we reasonably can to make what we build correct, secure and fast, but we cannot guarantee particular business results — no honest agency can. We are not liable for indirect losses such as lost profit or lost opportunity, and our total liability is limited to the fees you have paid us in the 12 months before the claim. Nothing here limits liability for death, personal injury, or fraud.
Governing law
These terms are governed by the law of Scotland, and the Scottish courts have jurisdiction.
